These Affiliate Program Terms & Conditions (the “Terms”) govern your participation in the Mantlecore affiliate program (the “Program”), operated by the company behind Mantlecore (“Mantlecore,” “we,” “us”). By applying to or participating in the Program, you (the “Affiliate”) agree to these Terms. If you do not agree, do not join the Program.

Participation is by approval only. You must be at least 18 years old and able to enter into a binding agreement. When you apply, you tell us where and how you intend to promote Mantlecore; we may approve or decline any application, and may remove any Affiliate, at our discretion. You are responsible for the accuracy of the information in your account.

We pay a commission of 22% of each qualifying paymentmade by a customer you refer, for that customer's first 6 monthsas a paying subscriber. Commission is calculated on the net amount actually received by us (after any discounts, and excluding taxes, refunds, and chargebacks). There is no cap on the number of customers you may refer. Commission rates and program structure may be changed prospectively (see “Changes”); changes do not reduce commissions already earned.

Referrals are tracked through your unique affiliate discount code and the Program's tracking system. A referral qualifies when a new customer subscribes to a paid plan using your code and completes a successful payment. Attribution is credited to the code used at checkout. We do not pay commission on your own purchases, on customers who were already Mantlecore users, or on orders where tracking was manipulated or circumvented.

Your code entitles a new customer to a discount on their first month, as stated on the affiliate page at the time of referral. The discount applies to first-time customers only and cannot be combined with other offers unless we say otherwise. We may change or withdraw the discount prospectively.

Earned commissions are shown in your affiliate dashboard and paid out on a regular schedule via Wise or PayPal, subject to any minimum payout threshold shown in the dashboard. You are responsible for providing accurate payout details and for any fees your payout provider charges on their side. Commissions tied to a payment that is later refunded or charged back may be reversed. Unclaimed or undeliverable payouts (for example, due to invalid payout details) may be forfeited after a reasonable period.

You agree to promote Mantlecore honestly and lawfully. You may not: (a) bid on Mantlecore trademarks or misspellings in paid search, or represent yourself as Mantlecore; (b) make false, misleading, or unsubstantiated claims about the product, pricing, or your results; (c) use spam, unsolicited email, or deceptive advertising; (d) post your code to coupon-aggregation, cashback, or incentivized-traffic sites unless we approve it in writing; (e) generate referrals through cookie-stuffing, fake accounts, self-referral, or any automated or fraudulent means; or (f) promote Mantlecore alongside content that is illegal, hateful, or otherwise objectionable. You are responsible for following applicable advertising and disclosure laws, including clearly disclosing your affiliate relationship where required.

We grant you a limited, non-exclusive, revocable license to use the Mantlecore name and logo solely to promote the product under these Terms. You may not modify our marks, use them in a way that implies endorsement of your other products, or register domains, social handles, or app names that incorporate our marks. All goodwill from your use of the marks belongs to us.

You are solely responsible for determining and paying any taxes on the commissions you earn. Commissions are paid gross; we do not withhold or remit taxes on your behalf, and nothing here creates an employment, partnership, agency, or joint-venture relationship between you and us. You participate as an independent party.

Either party may end this relationship at any time, for any reason, with or without notice. On termination we will pay commissions properly earned and unpaid as of the termination date, except where we reasonably believe fraud or a material breach of these Terms occurred, in which case pending commissions may be withheld. Sections that by their nature should survive termination (including payouts owed, brand use, and liability) survive.

The Program is provided “as is.” We do not guarantee any particular level of earnings, traffic, or conversions. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from the Program, and our total liability to you is limited to the commissions payable to you under these Terms.

The Program's terms — including commission rates, tiers, the commission window, the customer discount, and payout terms — are offered for a 12-month period and are subject to review and renewal on each annual renewal date. We may revise the terms at renewal (for example, adjust rates or thresholds), and continued participation after a renewal constitutes acceptance of the renewed terms. Commissions already earned under the prior terms are never reduced retroactively, and any active commission window on an existing referred customer continues on the terms in effect when that customer was referred.

Aside from the scheduled annual renewal above, we may update these Terms or the Program's structure at any time where reasonably necessary (for example, to reflect a change in a payment provider or the law). Changes apply prospectively from the date they are posted; continued participation after a change constitutes acceptance. We will never retroactively reduce commissions you have already earned.
